These Terms govern your use of Financeria and its digital services.
1. Operator

2. The Financeria Service
Financeria is a platform focused on private business acquisitions. Depending on the available features, Financeria may:
- collect business and acquisition-profile information
- provide indicative business assessments
- estimate acquisition ranges
- match owners and prospective buyers
- display anonymized private opportunities
- facilitate confidential introductions
- show illustrative deal structures
- when requested, connect users with financing or other transaction partners
3. No Guarantee of a Transaction
Financeria does not guarantee:
- that a business will sell
- that a buyer will be found
- that a stated or estimated valuation will be achieved
- that any buyer or seller will complete a transaction
- that financing will be available
- or that an illustrative deal structure can be executed
3a. Party Decisions
Any acquisition remains subject to independent diligence, negotiation, financing, documentation and final approval by the parties involved.
4. Indicative Information Only
Business values, buyer-fit assessments, financeability assessments, acquisition ranges, match scores and deal structures are illustrative and indicative. They may rely on information provided by users and simplified assumptions. They are not:
- formal business valuations
- fairness opinions
- due diligence
- credit decisions
- financing commitments
- legal advice
- tax advice
- investment advice
- guarantees of market value
4a. Professional Advice
Users should obtain appropriate professional advice before entering into a transaction.
5. No Lending or Banking Service
Financeria is not a bank and does not provide loans through these general Terms.
Financeria may introduce users to independent financing providers when requested.
Each financing provider independently determines whether financing is available and on what terms.
6. No General Agency or Fiduciary Relationship
Your use of the platform under these general Terms does not by itself appoint Financeria as your agent, investment adviser, fiduciary, lender or transaction representative.
Certain transaction-specific services may be offered under a separate written engagement and only where permitted by applicable law.
Any such engagement will define the relevant scope, fees and responsibilities.
7. Separate Transaction Agreements
Separate written agreements may govern services such as:
- sale mandates
- transaction advisory support
- success-based fees
- exclusive engagements
- financing introductions
- other transaction-specific services
7a. Precedence
No such fee, mandate or exclusivity obligation arises solely from accepting these general Terms unless expressly stated during a paid transaction.
If a separate written agreement conflicts with these Terms, the specific agreement controls for that service.
8. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into these Terms.
If you use Financeria on behalf of a company or other organization, you represent that you have authority to provide the relevant information and act for that organization within the scope of your use.
9. Owner Responsibilities
Business owners must provide information that is accurate to the best of their knowledge and not materially misleading. You must not knowingly misstate material information including:
- revenue
- earnings
- ownership
- authority to sell
- transaction expectations
- other information relevant to a potential acquisition
9a. No Verification
Financeria’s display of a business does not constitute verification of all information supplied by an owner.
10. Buyer Responsibilities
Buyers must provide acquisition-profile, experience and capital information that is accurate to the best of their knowledge.
An amount shown as available equity is not considered verified by Financeria unless expressly marked as verified.
Financeria may request supporting information before releasing certain confidential opportunities or introductions.
11. Confidentiality
Private-opportunity information must be treated as confidential. Users may not:
- publish confidential information without authorization
- disclose it to unauthorized third parties
- use it to harm another user or business
- circumvent Financeria’s privacy or access controls
- use it for a purpose unrelated to evaluating the potential transaction
11a. Additional NDAs
Additional non-disclosure agreements may be required before further information is released.
12. Identity and Access Controls
Financeria may disclose information in stages.
A buyer’s expression of interest does not create a right to receive a company’s identity, confidential information or documents.
Owners may approve or decline confidential introduction requests, subject to applicable transaction agreements.
13. Third-Party Information
Information on Financeria may originate from users, public sources or third-party providers.
Although we seek to provide a reliable service, we do not guarantee that all information is complete, current or error-free.
Material information should be independently verified before a transaction decision is made.
14. Financing and Transaction Partners
At your request, Financeria may introduce you to independent parties such as:
- lenders
- financing providers
- attorneys
- accountants
- tax advisers
- due-diligence providers
- M&A professionals
- other transaction-service providers
14a. Independence and Compensation
These parties act independently and are responsible for their own services, decisions and terms.
Financeria may receive compensation from certain partners where permitted by law and subject to any required disclosure or separate agreement.
15. Prohibited Use
You may not use Financeria to:
- violate applicable law
- commit fraud or misrepresentation
- impersonate another person
- collect data without authorization
- scrape the platform without permission
- circumvent technical or privacy controls
- introduce malicious software
- interfere with the operation of the service
15a. Enforcement
Financeria may restrict or terminate access for misuse.
16. Intellectual Property
Financeria’s software, branding, designs, text, methodologies, scores and other proprietary materials are owned by Financeria or the applicable rights holders.
Subject to these Terms, you receive only a limited right to use the service for its intended purpose.
You retain rights in information you provide, while granting Financeria the rights reasonably necessary to operate the requested services.
17. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.
Features may be added, changed or removed as Financeria develops.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINANCERIA IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
FINANCERIA DOES NOT WARRANT THAT ANY PARTICULAR BUYER, SELLER, VALUATION, FINANCING OPTION, MATCH OR TRANSACTION WILL BE AVAILABLE OR SUCCESSFUL.
Nothing in these Terms excludes rights that cannot lawfully be waived.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINANCERIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE PLATFORM OR THE FAILURE OF A TRANSACTION TO CLOSE.
Any additional limitation applicable to paid transaction services will be set out in the relevant separate agreement.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
20. Privacy
Our collection and use of personal information is described in the Financeria Privacy Policy.
21. Suspension and Termination
You may stop using Financeria at any time.
Financeria may restrict or suspend access where reasonably necessary because of:
- material breach of these Terms
- security risks
- suspected unlawful activity
- fraud or misrepresentation
- risks to other users
21a. Separate Agreements
Separate transaction agreements may continue according to their own terms.
22. Changes to These Terms
We may update these Terms as the service evolves.
The current version will be posted on Financeria with its effective date.
Where appropriate, we may provide additional notice of material changes to registered users.
23. Governing Law and Venue
The governing law and venue for disputes arising from these Terms will be identified here once the U.S. contracting entity is established, and will be applied without regard to conflict-of-law principles except where mandatory law provides otherwise.
Nothing in these Terms limits rights or venues that mandatory applicable law makes available to you.
